1. Agreement to Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of an enterprise entity, "Client", "User", or "You") and CPaaS Technologies ("Company," "we," "our," or "us"). By accessing our platform, utilizing our Developer APIs, or deploying our enterprise communication services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Description of Services

CPaaS Technologies provides enterprise Communications Platform as a Service (CPaaS) solutions. Our suite of services includes, but is not limited to:

  • WhatsApp Business API: Official Meta WhatsApp messaging integrations, template message routing, customer support automation, and chatbot connectors.
  • SMS Gateway & OTP Services: Promotional, transactional, and 2FA/OTP (One-Time Password) SMS delivery via global telecom carrier routes.
  • Voice Solutions: Interactive Voice Response (IVR), automated outbound calling, click-to-call APIs, and voice broadcasting.
  • RCS (Rich Communication Services): Interactive rich messaging, rich cards, and branded communication protocols.
  • Multi-Channel Messaging APIs & Dashboards: Unified communication dashboards, analytics, webhooks, and developer APIs.

3. Compliance with Meta (Facebook/WhatsApp) Platform Terms

When using our WhatsApp Business API or any Meta-integrated solutions, you explicitly agree to strictly adhere to all applicable Meta policies, including but not limited to:

You agree that Meta reserves the right to review message templates, rate quality scores, and directly revoke or suspend WhatsApp Business Account (WABA) access for violations of their content standards. CPaaS Technologies shall not be held liable for any suspension or block imposed directly by Meta due to client non-compliance.

4. Acceptable Use Policy & Anti-Spam Compliance

You agree to use our services solely for lawful communication purposes. You are strictly prohibited from utilizing CPaaS Technologies infrastructure to send:

  • Unsolicited commercial messages (SPAM), bulk phishing campaigns, or fraudulent communications without explicit user opt-in/consent.
  • Content violating Meta’s prohibited categories (drugs, weapons, adult products/services, gambling, counterfeit goods, or deceptive financial schemes).
  • Harassing, defamatory, threatening, hate speech, or illegal content under applicable local laws and telecom regulations.
  • Automated high-frequency calls or traffic manipulation designed to disrupt carrier networks or breach API rate limits.

Violation of this section will result in immediate API endpoint termination without refund eligibility.

5. User Consent & Opt-In Obligations

You guarantee that you have obtained prior explicit consent (opt-in) from all end-recipients before sending messages or placing automated calls via our platform. You must also maintain an easy opt-out mechanism (e.g., "Reply STOP to unsubscribe") in accordance with TRAI, GDPR, TCPA, and Meta guidelines.

6. Account Registration & API Key Security

To access our APIs and platform, you must register an account and maintain current business verification details. You are responsible for safeguarding your API keys, tokens, and dashboard passwords. Any activity originating from your API credentials will be deemed authorized by your organization.

7. Billing, Credits & Payment Terms

  • Service Charges: Services are billed based on prepaid credits, subscription plans, or agreed per-message/per-conversation API rates.
  • Meta Conversation Charges: WhatsApp Business API fees are levied based on Meta's conversation-based pricing model and will be deducted from your account balance accordingly.
  • Non-Refundable Balance: Unused API credits or wallet funds are non-refundable unless specified in a signed Enterprise Service Level Agreement (SLA).

8. Intellectual Property Rights

All software, proprietary code, developer tools, documentation, trademarks, and design elements belonging to CPaaS Technologies remain our exclusive intellectual property. Meta, WhatsApp, Facebook, and associated logos are registered trademarks of Meta Platforms, Inc.

9. Service Availability & Limitations of Liability

While we maintain enterprise-grade uptime across our multi-carrier API network, services are provided on an "AS IS" and "AS AVAILABLE" basis. We are not liable for message delivery failures caused by end-user device disconnection, carrier downtime, network congestion, or Meta API platform outages. Under no circumstances shall CPaaS Technologies be liable for indirect, consequential, or lost profit damages.

10. Suspension & Account Termination

We reserve the right to suspend or terminate your API access immediately, with or without notice, if:

  • You breach any provision of these Terms or Meta Platform Policies.
  • Your account exhibits suspicious activity, high spam complaint rates, or quality drop flags from Meta/Carriers.
  • Required regulatory or legal authorities instruct service disconnection.

11. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any legal disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Balrampur / Uttar Pradesh, India.
